Agree on an Exit Before You Need One
Equity, roles and exit rules are easiest to settle while the company is small and the relationships are good.
The three of us had known each other for over a decade, and talking about exit clauses felt like distrust. Then a friend's company ended up in court after a partner walked away, and we finally put it in writing.
Three things that belong on paper
Equity must match contribution. Nominee holdings and loans-as-capital need signed agreements from every partner.
Roles should reach the level of decision rights: who owns technology, who owns sales, who can veto the final quote.
The exit clause should define how shares are bought back, plus non-compete and client ownership after departure.
Awkward now, dignified later
We added a line: if a partner cannot work full time for three consecutive months, they must notify in writing and start a share adjustment discussion.
It was used once. Because it was written down early, the conversation took an afternoon.
A good partnership agreement is not for litigation. It is what lets everyone work without second-guessing.
